Terms of Service

Y Breakfast Studio is the trading name of Universal Nexus (Pty) Ltd, a company registered in South Africa.

These Terms of Service (“Terms”) govern your use of ybreakfaststudio.com and any services provided by Y Breakfast Studio (“we”, “us”, “our”). By accessing our website or engaging our services, you agree to these Terms.

1. About Us

Y Breakfast Studio is a branding, digital PR, AI content production, and web design and development studio based in Johannesburg, South Africa, operating globally.

2. Services

Y Breakfast Studio provides the following services:

  • Brand strategy and identity design
  • Web design and development
  • Digital PR and media placements
  • AI content and visual production

The specific scope, deliverables, timeline, and pricing for each engagement are confirmed in a separate Proposal and/or Service Agreement provided to the client prior to commencement of work.

3.1 Enquiries

Submitting an enquiry via our website does not constitute a binding agreement. An engagement only begins once a formal proposal has been accepted and the relevant payment has been received.

3.2 Paid Brand Audit

Where a Paid Brand Audit is purchased, the scope and deliverables are as described at the time of purchase. The audit is non-refundable once commenced.

3.3 Custom Engagements

Custom project terms, timelines, revision rounds, and payment schedules are outlined in the individual Service Agreement for each project.

4. Payment Terms

  • Pricing for packaged services is listed on the website and is subject to change without notice. The price confirmed at the time of proposal acceptance applies to that engagement.
  • Payment requirements and schedules vary depending on the service and are outlined in the relevant proposal or Service Agreement.
  • Remaining balances are due as per the payment schedule in the Service Agreement.
  • Late payments may result in work being paused until the outstanding balance is settled.
  • All prices are quoted in the currency specified in the proposal. Where applicable, currency conversion costs are the client’s responsibility.

5. Client Responsibilities

To enable Y Breakfast Studio to deliver work effectively, clients agree to:

  • Provide accurate and complete information required for the project
  • Supply required assets, approvals, and feedback within agreed timeframes
  • Nominate a single point of contact for communication
  • Ensure they have the rights to any third-party materials they provide to us

Delays caused by the client’s failure to fulfil these responsibilities may affect timelines and are not the responsibility of Y Breakfast Studio.

6.1 Ownership Upon Full Payment

Upon receipt of full payment, the client receives ownership of the final agreed deliverables (e.g. logo files, website, final visuals), unless otherwise specified in the Service Agreement.

6.2 Pre-Payment

All work-in-progress materials remain the intellectual property of Y Breakfast Studio until full payment is received.

6.3 Studio Portfolio Rights

Y Breakfast Studio reserves the right to display completed work in its portfolio and for promotional purposes, unless the client has expressly requested confidentiality in writing.

6.4 Third-Party Assets

Where licensed stock imagery, fonts, or other third-party assets are used, the client is responsible for ensuring ongoing compliance with the terms of those licences after project handover.

7. AI-Generated Content

Where AI tools are used in the production of visual or written content, Y Breakfast Studio takes responsibility for the creative direction, quality control, and strategic alignment of all AI-assisted outputs. Clients acknowledge that AI-generated content is a legitimate and intentional component of specific service offerings, as disclosed.

8. Revisions and Approvals

The number of revision rounds included is specified in the proposal. Additional revisions beyond the agreed scope will be quoted separately. Final client approval constitutes sign-off on the deliverable, after which further changes are outside the original scope.

9. Cancellations and Refunds

  • Cancellation by client before commencement: Deposits are non-refundable.
  • Cancellation during project: Work completed to date will be invoiced at the agreed rate, and any outstanding balance for completed work is due.
  • Cancellation by Y Breakfast Studio: In the unlikely event we are unable to complete a project, a pro-rata refund for incomplete work will be issued.

10. Confidentiality

Both parties agree to keep confidential any sensitive business information shared during the engagement and not to disclose it to third parties without prior written consent, unless required by law.

11. Limitation of Liability

To the fullest extent permitted by law:

  • Y Breakfast Studio is not liable for indirect, incidental, or consequential damages arising from the use of our services or website.
  • Our total liability for any claim arising from a specific engagement shall not exceed the total fees paid for that engagement.
  • We do not guarantee specific business outcomes (e.g. search rankings, revenue, media reach) as results depend on factors outside our control.

12. Warranties and Representations

We warrant that:

  • Services will be performed with reasonable skill and care
  • We have the right to provide the services and deliverables

We do not warrant that our website will be uninterrupted or error-free. 

13. Governing Law

These Terms are governed by the laws of the Republic of South Africa. Any disputes arising from these Terms or from a service engagement shall be subject to the jurisdiction of the South African courts, unless otherwise agreed in writing.

14. Changes to These Terms

We may update these Terms from time to time. The “Last updated” date at the top reflects the most recent revision. Continued use of our website or services after changes are published constitutes acceptance of the updated Terms.
